We’relooking for an experienced, commercially minded Senior Legal Counsel to join Orion Health’s global legal team. Reporting directly to the General Counsel, who is based in New Zealand,you’llplay a key role in delivering legal support to Orion Health while also partnering with other businesses across the HEALWELL AI group. While your primary focus will be supporting Orion Health,you’llalsohave the opportunity tocontribute legalexpertiseacross other HEALWELL AI businesses as they continue to grow globally.You’llbe trusted to lead complex matters independently while collaborating closely with colleagues across multiplejurisdictions. Whatyou’llbe doing As Senior Legal Counsel,you’ll: Providecommercially focused legal advice to Orion Health and other businesses across the HEALWELL AI group. Draft, negotiate and advise on complex technology, SaaS, software licensing, services and commercial agreements with customers,suppliersand strategic partners. Lead negotiations on bespoke commercial arrangements and major customer transactions. Support strategic business initiatives, new commercialopportunitiesand cross-functional projects. Advise on a broad range of commercial, corporate, employment,propertyand dispute-related matters as they arise. Assistwith responses to RFPs, contractstrategyand complex customer engagements. Support compliance with corporate governance obligations across Canada and, whererequired, internationaljurisdictions. Engage and manageexternal legal advisors across multiplejurisdictions,where specialist advice isrequired. Stand in for the General Counsel whenappropriateand provide leadership across legal matters. Contribute to the continuous improvement of legal processes,templatesand knowledge resources. About you You’rean experienced technology lawyer who enjoys solvingcomplexbusiness problems. You understand that effective in-house lawyers balance commercialobjectiveswith legal risk and know how to communicate practical advice that helps the business move forward confidently. You’llbring: Approximately 10+ years’ post-qualification experience, ideally combining private practice with significant in-house experience. Extensive experience drafting and negotiating complex commercial and technology agreements. Strong knowledge of Canadian commercial and contract law. Experience supporting technology, software,SaaSor digital businesses. A working knowledge of privacy and data protection lawis preferred. Experience advising on privacy matters within healthcare or technology would beadvantageousbut is not essential. Excellent commercial judgement and the confidence to independently manage complex legal matters. Outstanding communication,negotiationand stakeholder management skills. A collaborative approach and the ability to build trusted relationships across all levels of an organisation. Resilience,adaptabilityand the confidence to work comfortably through ambiguity. A practical, solutions-focused mindset with a healthy sense of humour. A law degree, and alicense topractise in the Canadian province in which you are based. Experience within healthcare technology, digital health or AI-enabled software businesses would be highlyadvantageous,butis not essential. Why join Orion Health?
