Job Overview As Senior Legal Counsel, you will have a challenging and diverse practice that will allow you to refine your legal skills every day. You will work as part of a team to provide ongoing support and legal advice primarily to TD's Canadian Personal Banking business and certain corporate functions that support this business segment. This includes: Providing legal support for change initiatives involving payments products and other money movement services; Drafting, reviewing and negotiating terms of use and customer agreements and related collateral; Consulting on the drafting and negotiation of third-party contracts, as needed; participating in the product development process, identifying issues and liaising with subject-matter experts (internal and external) to guide relevant TD business segments toward workable solutions; Reviewing internal and external materials for relevant TD business segments, including customer documentation, contracts, policies, procedures, job aids, customer communications and marketing materials; Advising on compliance with Bank Act consumer provisions, related codes/commitments, and select provincial statutes; Reviewing and advocating on new legislation and regulation, including through industry forums; Applying expertise and thinking creatively to address unique or novel matters and working collaboratively with colleagues across business lines and corporate functions to help identify and prevent future legal and regulatory risks; Contributing to colleague development within the Legal Department by discussing relevant legal issues or regulatory developments; Keeping yourself and the TD Legal Department, businesses, channels and corporate areas up-to-date on legal issues affecting your areas of responsibility, including by attending external presentations and conferences and liaising with contacts at other banks, industry forums, law firms, and professional associations as appropriate; Working collaboratively with other members of TD Legal to deliver the highest quality of service; Contributing to high-priority TD Legal Department initiatives, including knowledge management and workflow improvement; and Broader work or accountabilities that may be assigned as needed. Job Requirements Licensed to practice law in Ontario. Minimum of 7 years of experience practising law in Canada. Experience advising on Bank Act requirements as they relate to retail banking products. Experience supporting payments products and other digital money movement services such as debit cards, online payments, electronic money transfers and wire payments. Knowledge of financial services, provincial consumer protection, and privacy laws would be an asset. Strong analytical and communication (verbal and written) skills and ability to provide advice in a clear, concise and time-sensitive manner, in both legal and business settings. Strong organizational skills and the ability to work in a fast-paced, detail-oriented environment while managing multiple deadlines and priorities. Ability to think critically and make risk-based decisions. Ability to work independently and as a member of a team. Ability to interact and effectively advise senior officers within TD.
