Purpose of Role
Support the Senior Legal Counsel in the Legal Department’s delivery of an efficient and effective corporate legal function in accordance with applicable law and in a manner that is consistent with Hudbay’s mission, vision, strategic goals, policies, and values.
Responsibilities
Ensure corporate office activities are carried out in accordance with applicable law and consistent with Hudbay’s mission, vision, strategic goals, policies, and values.
Prepare and file the company’s continuous and timely disclosure documents and exchange filings under applicable securities laws, including review of financial statements, MD&A, news releases, investor presentations, and NI 43-101 technical reports.
Provide legal advice and assistance to other functional groups at the corporate office and Canadian business units; manage and review ordinary course confidentiality agreements, consulting agreements, commercial contracts, and contract checklists at the corporate office.
Assist with the execution and closing of financing and strategic transactions (credit facilities, capital markets transactions, M&A, etc.).
Provide expert advice regarding the effect of proposed changes to Canadian laws and regulations and their impact on the company and its operations and future prospects.
Support the continuous improvement of the delivery of the corporate legal function, including through the adoption and implementation of technology solutions that improve efficiency.
Qualifications
Solid grasp of Canadian securities regulations and Canadian stock exchange rules (including public company disclosure obligations, TSX policies and NI 43-101), corporate law, corporate governance standards, and experience using legal technology solutions.
Qualified to practise law in the Province of Ontario.
2–3 years of experience practising corporate and securities law in-house or at a major law firm and a member in good standing with the Law Society of Ontario.
Other Skills
Some experience negotiating and executing a variety of transactions (ideally in the natural resources/mining industry), including M&A, equity and debt offerings, project financings, joint ventures, option agreements, etc.
Strong legal research, writing and analytical skills.
Business savvy lawyer with good judgment, critical thinking skills and ability to collaborate across functional groups.
