Job Description
Reporting to the Director Procurement & Legal Counsel Sr, the Legal Counsel will oversee contracts drafts, reviews, negotiate and manage various contracts, including the interpretation of such contracts and the implementation of amendments.
How You’ll Make An Impact
Reviewing and considering all pertinent issues which arise in the context of negotiations
Independently draft, review, negotiate and manage a variety of agreements such as technology and non-technology products, intellectual property licensing, information systems and services (including software, SaaS, AI and data license agreements, and professional services)
Liaise and collaborate with external and internal Fidelity business partners to ensure necessary legal documentation is completed in accordance with timelines/policies
Assist in the continual improvement of processes, documentation and practices to achieve a more efficient workflow
Assist with supplied sourcing, onboarding and engagement as well as ad‑hoc projects as necessary including Third Party Risk, Model Risk, Information Security, Privacy and Tax
Drafting, maintaining and updating material contracts, as required
Coordinating and implementing comments received from internal and external parties
Contributing to the development, implementation and enhancement of legal and procurement policies and procedures
Identifying and driving opportunities to streamline, standardize and automate contracting processes, including leveraging technology to improve efficiency and consistency
What We’re Looking For
Completion of the Bachelor of Law or Juris Doctor degree or equivalent experience
Experience with technology contracts and/or AI vendors is an asset
4+ years of experience in the legal or procurement department of a large commercial organization or a large law firm
Licensed as a member of the Law Society of Upper Canada
Experience in contracts required
Comfortable using contract lifecycle systems and contract management software or other legal technology solutions
Prior mutual fund industry experience is an asset
In‑house experience and experience representing large, multi‑national bank or diversified financial institution
Understanding of regulations applicable to financial institutions as they relate to third party engagements (e.g., privacy/cybersecurity, material outsourcing arrangements, etc.)

For this role, your total rewards include:
Base Salary and Discretionary Performance Bonus. Total annual cash compensation (base salary plus target bonus) ranges from $182,000 to $212,000, based on your experience and qualifications.
