About the Role We’re hiring our first In‑House General Counsel to join exacare ai. This is a true 0→1 role at the center of the company. You’ll help define how legal operates, build the systems and playbooks from scratch, and scale what works as we grow. You’ll be involved across the business, partnering closely with Sales, Growth, Operations, and Leadership to support everything from customer contracts to vendor agreements and compliance. The goal is simple: help the company move fast, close deals, and operate responsibly. This is a broad, hands‑on legal role for someone who can partner across the business on commercial, corporate, and compliance matters as we scale. We’re looking for a high‑agency builder who wants real ownership. Someone who is excited to be the go‑to legal partner, comfortable with ambiguity, and motivated to build a function that enables the business rather than slows it down. This is a low‑ego, high‑output environment. What You’ll Do Build the 0→1 legal function: create templates, playbooks, and lightweight processes that bring structure without slowing the team down. Support compliance and risk: help shape our approach to HIPAA and other healthcare‑related requirements as we scale, including data privacy, internal policies, and controls. Stay on top of a fast‑changing landscape: monitor evolving AI, privacy, and technology regulation, and translate it into clear, actionable guidance for the team. Own vendor and operational legal commercial contracting: review and negotiate vendor agreements and support internal contracting needs including software procurement contracts, leases, employment agreements. Own contracting end‑to‑end across customers: draft, review, and negotiate a wide range of agreements including MSAs, DPAs, BAAs, service agreements, software procurement contracts, leases, and terms of service. Own legal operations, including contract lifecycle management, outside counsel management, legal tooling, knowledge management, and metrics that improve speed and efficiency. Partner closely with Sales and Growth to support revenue generation: manage contract negotiations to remove friction in deal cycles and build the speed, consistency, and scalability needed to accelerate our growth. Partner closely with Product and Engineering to support how we build and ship AI, from data usage and model development to transparency and customer commitments, helping us move quickly while managing risk. Support corporate legal matters, including governance, entity management, board and investor‑related workstreams, and preparation for future financing or strategic transactions. Advise across the business: act as a trusted partner to teams across the company, providing clear, practical guidance that helps drive decisions. Determine when outside counsel is required and manage the ask, while owning day‑to‑day legal execution internally. Reporting directly to the CEO and working closely with the executive team. Experience supporting cross‑border operations, particularly between Canada and the United States. Advise leadership and People Operations on employment, compensation, equity, workplace, and contractor matters as the company scales. What You’ll Bring Experience: 7+ years of corporate law experience, ideally with a mix of law firm and in‑house exposure, or a strong desire to move in‑house. Strong contracting foundation: experience drafting and negotiating commercial agreements such as MSAs, DPAs, vendor contracts, and terms of service. Comfortable managing and leading negotiations independently. Business‑first mindset: you understand that legal should enable the business. You are pragmatic, solutions‑oriented, and know how to balance risk with speed. Builder energy: you are excited to build templates, systems, and processes that scale, or are eager to learn how to do so and you are excited to go beyond the traditional scope of legal and jump into adjacent problems when needed. Ability to operate autonomously: you are comfortable being the primary legal partner, managing priorities, and working across teams without heavy oversight. Comfort working across a broad range of legal areas, including commercial, corporate, privacy, healthcare compliance, and general business counseling. Sound judgment, business orientation, and the ability to balance strategic legal advice with hands‑on execution. Strong communication and judgment: you can translate complex legal concepts into clear, actionable guidance for non‑legal stakeholders. Collaborative and execution‑oriented: you are proactive, adaptable, and effective in fast‑paced environments, with a willingness to take ownership, work cross‑functionally, and drive matters to completion.
